Everyone is different and unique. We don't see things as they are BUT see things as we are because everyone is the product of his or her own experience, and this is where Conflict comes from.

To gain a Win-Win solution, both parties must go through a process of negotiating for mutual satisfaction. There are 3 things we must bear in minds:

1. Build a climate of mutual trust.
A negotiation goes more than an exchange of something. Rather it is to develop mutual understanding, belief, acceptance,respect, and trust, i.e.,a process to build a climate of mutual trust.

2. Get each other into the process.
Get each other involved in the problems and concerns each one may have so that you both become friends more than enemies to view the issues and a better solution that may be came out.

DON'T be hesitated to ask for help or begin with your problems so that you get the other party to stand in the shoes of yours, and vice versa. Let your adverse party address your problems in his or her voice and manner.

3. Harmonize mutual needs.
Recognize the differences and positions that both parties may have on the issues (i.e.,to find out where both of you agree and where both of you differ) so that you both can work out a win solution without at the expense of the other. In short, people can come to one win goal with different approaches yet it satisfies different needs. No body has to lose.

A tip for IPRs Indemnification negotiation( for Manufacturer side) !

A intends to order a design from B for a product(invention). A and B are negotiating on the clause of IPRs Indemnification

A: Customer B : Manufacturer.


Basically, A always requests that “B shall indemnify, hold harmless and defend against any claim, suit or proceeding which may be brought against A for alleged infringement of any patent, copyright, trademark, trade secret, mask work, or other proprietary right.”

However,B can negotiate with A on below clause :

"B has no liability for any claim that that the Product infringes any patent, copyright, trade secret, trademark or other proprietary right of any third party based upon:

(1) the combination, operation or use of any Product with other products or software not furnished by B;

(2) specific design criteria B incorporated into the Product as instructed by A in writing; or

(3) A's modification of the Product after delivery from B."

A tip for IPRs Ownership Negotiation ( for Manufacturer Side)


A intends to order a design from B for a product(invention). A and B are negotiating for a "Product development and purchase agreement"


A: Customer B : Manufacturer.

Below are the possible situations for the IPRs ownership of the Product.



1. B owns IPRs.

2. Both parties jointly own IPRs.

3. A owns IPRs if it requires so and provided that NRE fees have been paid by A in fair value of this invention.

4. Even A owns IPRs, B is granted a perpetual, world-wide, irrevocable, royalty-free license to, including but not limited to, manufacture, distribute, sell , offer for sale,import ,export the Product.

網路拍賣商家所銷售之錠狀及膠囊等食品,應經中央主管機關查驗登記並發給許可證,始得販賣!

問: 網路公開販賣錠狀及膠囊等食品,如未經中央主管機關查驗登記並發給許可證,是否違法? BY洪菁黛律師(Stefany Hung)

答: 按「經中央主管機關公告指定之食品、食品添加物、食品用 洗潔劑、食品器具、食品容器及食品包裝,其製造、加工、調配、改裝、輸入或輸出,非經中央主管機關查驗登記並發給許可證,不得為製造、加工、調配、改裝、輸入或輸出等行為」,我國【食品衛生管理法】第十四條第一項載有明文。

次按「違反第十四條第一項者,處新臺幣三萬元以上十五萬元以下罰鍰;一年內再次違反者,並得廢止其營業或工廠登記證照」、「有第三十一條至前條行為,致危害人體健康者,處三年以下有期徒刑、拘役或科或併科新台幣十八萬元以上九十萬元以下罰金。」我國【食品衛生管理法】第三十三條及三十四條分別定有明文。

再按行政院衛生署之衛署食字第0950406945號函文明確記載「輸入錠狀及膠囊食品前,進口商應事先向衛生署辦理查驗登記,取得核准函後,憑該核准函在進口時於海關再依【輸入食品查驗辦法】規定辦理輸入食品查驗程序,經核准始得於國內販售。至於准予個人自用品進口者,因未經前開登記及輸入查驗手續,該等樣品自不得公開或利用網路平台銷售。非依前揭程序辦理,逕依其他管道銷售者,均屬非法行為」等語可參。

是以,網路拍賣商家所銷售之錠狀及膠囊等食品,按行政院衛生署之衛署食字第0950406945號函文所揭,係屬經中央主管機關公告指定之食品,是依我國【食品衛生管理法】第十四條第一項所載,非經中央主管機關查驗登記並發給許可證者,不得為製造、加工、調配、改裝、輸入或輸出等行為;更不得於公開管理或利用網路平台進行銷售行為,否則,均屬非法行為(有前揭函文可參);違者,除得處新臺幣三萬元以上十五萬元以下罰鍰外,如因此致危害人體健康者,更得處三年以下有期徒刑、拘役或科或併科新台幣十八萬元以上九十萬元以下罰金。」亦有我國【食品衛生管理法】第三十三條及三十四條之規定可據。

主旨:預告國產維生素類錠狀、膠囊狀食品應辦理查驗登記及其作業事項草案。
依據:行政程序法第一百五十一條第二項準用第一百五十四條第一項。

公告事項:
一、公告機關:行政院衛生署。

二、公告依據:食品衛生管理法第十四條。

三、產品配方中任一維生素之每日攝取量大於「國人膳食營養素參考攝取量」
150%、小於「食品添加物使用範圍及限量暨規格標準」上限之國產錠狀、膠
囊狀食品(認定基準表如附件1),應依「國產維生素類錠狀膠囊狀食品查驗
登記作業事項」向本署辦理查驗登記。

四、惟若屬輸入錠狀、膠囊狀食品,於國內分裝成產品者,因已依現行規定向本署
辦理「輸入錠狀膠囊狀食品查驗登記」,無須再申請國產維生素類錠狀膠囊狀
食品查驗登記。

五、前開「國產維生素類錠狀膠囊狀食品查驗登記作業事項」及相關申請書表分別
詳如附件2及附件3。

六、施行日期:100年1月1日開始受理查驗登記,該類市售之國產維生素類錠狀、
膠囊狀食品,並應於101年6 月30日前完成查驗登記,未完成者,將依涉及違
反食品衛生管理法第14條規定,依同法第29條及第33條相關規定處辦。
